This Agreement contains the entire agreement of the parties with respect to the transactions contemplated by this Agreement and supersedes all prior and contemporaneous Agreements, representations and understandings, whether written or oral.
No boilerplate terms under a Customer purchase order, acknowledgment form, or other ordering document shall vary the terms and conditions on this Agreement. It is the express intent of the parties that this Agreement and each Order submitted hereunder constitute one transaction that shall be governed by the terms hereof.
In the event of any conflict between the terms and conditions of this Agreement and those of any statement of work or project agreement hereunder as expressly agreed by the parties in writing, the terms and conditions of the statement of work or project agreement shall prevail.
No modification or waiver of any provision hereof is effective unless in writing and signed by each party. This Agreement is binding upon and inures to the benefit of the parties, their successors and permitted assigns.
